Tātau Tātau o Te Wairoa Corporate Trustee hereby gives notice to the members of the Whānau, Hapū, and Iwi of Te Rohe o Te Wairoa of our Annual General Meeting on Saturday 14 December 2019 at the War Memorial Hall in Wairoa.

The following resolutions will be voted on at the AGM: 

1.   That the reports on the operations of Tātau Tātau o Te Wairoa Trust by the elected Tātau Tātau Kāhui Representatives during the preceding Income Year be received.

2.   That the Tātau Tātau o Te Wairoa Trust Annual Report 2019 and the duly audited Consolidated Financial Statements for the period ending 30 June 2019 be adopted.

3.   That the appointment of BDO Gisborne Limited as the Independent Auditor for the 2019/2020 Income Year be approved.

4.   That the Tātau Tātau o Te Wairoa Trustee Limited Director Remuneration Levels for the 2019/2020 Income Year be approved.

5.   That the Five-Year Strategic Plan 2019/2024 and Annual Plan 2019/2020 for Tātau Tātau o Te Wairoa Trust be approved.

PĀNUI UPDATE AND NOVEMBER ENGAGEMENT ROADSHOW

We hope this pānui finds you, the Iwi and Hapū of Te Rohe o Te Wairoa, well.

We ended 2018 on a very positive note, with a 91.78% YES vote from those Adult Registered Members who voted on our final representation and asset arrangement model, and required Trust Deed updates. This positive outcome meant we could move forward with the Unit Trust Model, and the Kāhui representation it is supported by. Ngā mihi to all who helped make this possible.

It has been a busy year to date for the Trust and the Kāhui, and we are pleased to be able to provide you with a full update today.

We appreciate it has been a while since the Trust has been in touch with you via pānui, and we thank you for your patience as we sorted out matters relating to implementing the structure of the Unit Trust Model you voted on last year.

November 2019 Engagement Roadshow

We are holding a round of Engagement Hui across Aotearoa in November, so that we can get your feedback on our Long Term Strategic Plan, which sets out our strategic direction for the years ahead. This has been an important item on our workplan for 2019, and is currently in draft form.

Your feedback is important to us, so we encourage you to attend one of the hui if you can and have your say on our future values and aspirations, strategic pou, and vision for the future.

Kāhui update

Over the course of 2019, our Kāhui finalised their structures, Trust Deeds and held their Kāhui representative elections. Many Kāhui are progressing forward with their strategic planning and annual work programme.

Each Kāhui had an option to receive their 1st distribution – an equal 1/7th share of $2.477 million. A further two distributions per Kāhui are optioned over the next two years, with future distributions dependent on investment performance and returns. We encourage you to approach your respective Kāhui for any questions and updates on your trust structure, elective representatives and work programmes.

Tātau Tātau o Te Wairoa Kāhui Representatives

Tātau Tātau o Te Wairoa Trust Kāhui elections were held between December 2018 and August 2019. Ngāti Rakaipaaka election results are due at the end of November 2019.

Your Tātau Tātau o Te Wairoa Trust Representatives are:

Commercial Board update

Earlier this year, we advertised for directors on the Commercial Board, through the Seek website and via newspaper.

The appointed Commercial Board Directors are:

  • Tony Gray (Chair)
  • Jason Rogers
  • Michael Crawford
  • Rangi Manuel
  • Tina Porou

Appointments for these roles have been made on a ‘best person for the role’ basis, i.e., they had to show they had the ability and expertise to maximise returns that will either be re-invested or distributed to Kāhui. Candidate selection was done in consultation with qualified independent agency, Deloitte.

The Commercial Board directors will stand for an initial period of two years. The Commercial Board is a separate board from the Tātau Tātau Board. The commercial company board have just finished preparing a Statement of Investment Policy and Objectives (SIPO) which includes the parameters under which the commercial company board will operate. The SIPO has been approved by the directors of the Corporate Trustee of Tātau Tātau o Te Wairoa Trust. You can access the SIPO here.

Other updates

  • Our Forestry Companies looking after our Patunamu Forest and Wharerata Forest interests are now in place and operating with appointed directors.
  • We recently advertised for a General Manager for Tātau Tātau o Te Wairoa Trust. This role will be responsible for the day-to-day operations and management of the Trust. We also recently advertising for a Commercial Advisor for the Trust. This role will be responsible for implementing the decisions of the Board of Tātau Tātau o Te Wairoa Commercial Limited, Tātau Tātau’s commercial entity. Applications for these roles are currently being reviewed. 
  • Tātau  Tātau o Te Wairoa Trust has leased part of the ground floor space at the Wairoa Waikaremoana Māori Trust Board, 34 Marine Parade West, Wairoa. The lease commenced last month and will eventually become the operating base for our General Manager and any administrative staff.

The remainder of 2019, and 2020, is shaping up to be big years for our whānau, hapū and iwi. We’ve spent the last 30 years working hard to get to this point. We’re proud to now have set a solid foundation to allow us to move forward.

Seeking a General Manager

Tātau Tātau o Te Wairoa (TToTW) Trust is searching for individuals to fill the role of General Manager.

We are now entering an exciting new era and are moving forward with seeing the benefits for the iwi, hapū and whānau of Wairoa with a specific focus on achieving cultural, social, and economical benefits.

The primary purpose of this role will be to represent the interests of TToTW by leading and managing the organisational team to achieve the individual and organisational goals. The General Manager is also responsible for advising the Board as to the best use of TToTWT resources to support strategic outcomes. Their secondary purpose will be to manage relationships with identified stakeholders, to ensure appropriate support, communication and relationships are developed as required.

Seeking a Commercial Advisor

Tātau Tātau o Te Wairoa (TToTW) Trust is searching for individuals to fill the role of Commercial Advisor.

TToTW was established to manage the Settlement redress on behalf of the Iwi and Hapū of Te Rohe o Te Wairoa, which was received on 12 September 2018, as part of the settlement with the Crown for all the historical Treaty of Waitangi claims within the Wairoa District.

We are now entering an exciting new era and are moving forward with seeing the benefits for the iwi, hapū and whānau of Wairoa with a specific focus on achieving cultural, social, and economical benefits.

The Commercial Adviser through functional reporting will be responsible for implementing the decisions of the Board of Tātau Tātau o Te Wairoa Commercial Limited, TToTW’s commercial entity.

The primary purpose is the management of the asset portfolio, held in the commercial entity, within the specified risk and growth of funds available for distribution to carry out the Trust’s cultural and social objectives and Kāhui outcomes, while ensuring the protection of our taiao and to achieve growth of Tātau Tātau o Te Wairoa Trust’s assets.

Tātau Tātau o Te Wairoa (TToTW) Trust is searching for individuals to fill the role of Directors on its Commercial Board.

Results of voting: final representation and asset arrangements

The results of the Special Resolution Vote on our final representation and asset arrangements and required Trust Deed updates are in. We received a 91.78%% YES vote from those Adult Registered Members who voted.

This is a very exciting time for our whānau, hapū and iwi. It is the start of a new era – and it has been more than 30 years in the making. We can finally move forward, and start seeing the benefits for our iwi, hapū and whānau!

The result of this vote means that your Kāhui can start working to benefit you, our people. This is our time to start achieving culturally, socially, and economically. This is our time to make things happen for our future.

What happens now?

  • The Trust will make the required changes to the Trust Deed
  • New Kāhui Tātau Tātau Representatives will be elected by the end of March 2019. The Tātau Tātau representatives will be the directors of the Corporate Trustee of Tātau Tātau o Te Wairoa Trust.
  • Our new Tātau Tātau Representatives will focus on finalising Tātau Tātau o Te Wairoa’s Five-Year Strategic plan which is currently in draft form.
  • A consultation process will be run next year amongst our members so that we can get your feedback on this important document.

2018 Annual Report 
The 2018 Annual Report, including the Financial Statements, can be downloaded from the Trust’s website here.

It includes the Chairperson’s Report on the Trust’s activities over the past year, and the full set of Financial Statements for the twelve months up until 30 June 2018.

This document is important for our Annual General Meeting (AGM) on 15 December. Inside the report is the AGM agenda and details of the resolutions to be voted on.

The Initial Trustees will be seeking the Adult Registered Members to resolve:

  1. That the reports on the operations of Tātau Tātau o Te Wairoa Trust by the Initial Trustees during the preceding Income Year of the Initial Period be received.
  2. That the Tātau Tātau o Te Wairoa Trust Annual Report 2018 and the duly audited Consolidated Financial Statements for the period ending 30 June 2018 be adopted.
  3. That the appointment of BDO Gisborne Limited as the Independent Auditor for the 2018/2019 Income Year be approved.
  4. That the Trustee Remuneration Level for the 2018/2019 Income Year be approved.

Final Representation and Asset Arrangement – see you at our SGM and Information Hui

We are pleased to be able to provide final dates and locations for our series of Information Hui coming up in November across the motu, including a Special General Meeting (SGM) in Wairoa.

This is where our Trustees will present to you the final Representation and Asset Arrangement Model for Tātau Tātau o Te Wairoa Trust as the post-settlement governance entity (PSGE) – the entity that receives cultural and financial and commercial redress from the Crown on Settlement Date, which is confirmed to be on 12 November 2018.

The dates for all the hui are further down this email. We will also be livestreaming each hui on Facebook, so if you cannot make it, make sure you try tune in online. Following the hui, we will be uploading the video livestream on our website as well.

By now you will have received your voting packs with your voting papers and information booklet. Voting opens on 3 November and closes at 12pm on Monday 26 November.

Note, we have made some updates to the Kāhui lists on page 27 of the information booklet since you received your copies by post. The most updated list can be found in the online version of the information booklet and in the updated version of the Trust Deed. You can access these latest documents here

You are being asked to vote on the following Special Resolutions:

The Adult Registered Members resolve to:

1. amend the Tātau Tātau o Te Wairoa Trust Deed as set out in the marked up Trust Deed entitled Revised Version November 2018; and

2. approve the Unit Trust Model as the asset and representation model for the Tātau Tātau o Te Wairoa Trust.

The Trust needs to pass this Special Resolution so that we have an agreed representation model and way of managing our settlement assets. The Trust asks all whānau to review the proposed representation and asset arrangement model and then we encourage you to vote ‘YES’ to approve the Special Resolution.

The current Trust Deed ratified in August 2018 has been updated to reflect the proposed final representation and asset arrangement model. The marked up Trust Deed entitled Revised Version November 2018 can be accessed here, along with a list of proposed key updates to the Tātau Tātau o Te Wairoa Trust Deed.

If the Special Resolution does not receive the required level of support, the current Trust Deed ratified in August 2018 will stand and a new set of Trustee Elections will be held.

What it really means is we will lose the opportunity to move forward, that our iwi, hapū and whānau have been waiting so long for.

Your vote is really important to us – Remember, it is you who will determine if we can move forward with the proposed final asset and representation arrangements. It’s you, our people, who ultimately decide on the future of Tātau Tātau o Te Wairoa.

The Special Resolution must receive at least 75% support of valid votes cast for it to be passed.

Whānau, we would like to stress that we have not come up with the final representation and asset arrangements in isolation – we have listened to your views at last year’s engagement hui, and those contained in further information gathered, and have brought them together to develop this recommended final representation and asset arrangement model for the future structure of Tātau Tātau:

  • Seven (7) Kāhui/Cluster groups: Each with a legal structure in place in order to be a unit holder in Tātau Tātau o Te Wairoa Trust upon settlement. You can read more about how the Kāhui structure will work on pages 16-19 of the information booklet.
  • A Unit Trust Model: With each Kāhui holding ‘units’ in Tātau Tātau o Te Wairoa Trust. We are unique and we need a unique model for our settlement that is tailored specifically to the needs of our own iwi, hapū and whanau. You can read more about how the Unit Trust Model will work on pages 14 and 15, and 22 and 23 of the information booklet.

Wairoa rangatahi wins ‘Trailblazer’ award

Wairoa rangatahi Rahiri Makuini Edwards-Hammond has received the supreme GirlBoss ‘Trailblazer Award’ for her work developing young Māori leaders.

She was recognised at the inaugural GirlBoss Awards ceremony in Auckland on Wednesday 19 September.

Rahiri co-founded Project Rangatahi which aims to connect young Māori with internships, mentors and opportunities to help them succeed in their careers.

Says the Te Kura Kaupapa Maori o Ngati Kahungunu o Te Wairoa Year 13 tauira: “I have been really honoured to have really good girl-bosses in my life, such as my mother and my grandmother.”

GirlBoss Awards are focused on celebrating New Zealand’s future female leaders and chief executives. This year’s inaugural awards received more than 400 nominations from all around Aotearoa.

Rahiri is one of only six other young wahine to receive an award, and the only supreme award winner.

She co-founded Project Rangatahi with business partner Tahemata Robinson earlier this year, and is hoping to grow the business nationally.

We did it – our Settlement is now law!

Together, we did it! Our Settlement has been enacted following the third and final reading of our Iwi and Hapū of Te Rohe o Te Wairoa Claims Settlement Bill in Parliament today, and it is now law!

What a journey it has been.

This third and final reading was the culmination of many, many years of hard work that our tīpuna started and we are so happy and proud to have been able to collectively complete this for them, so that their tamariki and mokopuna, our tamariki and mokopuna, can benefit moving forwards.

A huge mihi to all those who journeyed to Pipitea Marae and Parliament to celebrate what we believe is a historic milestone for our iwi, hapū and whānau. For those who could not make it, we hope you were able to watch on Parliament TV, listen on Parliament Radio, or watch the Parliament TV livestream.

 

What happens now?

Now that our settlement is law, we are making plans to hold a series of of engagement hui across the country, and a Special Resolution Vote, where the Trustee will present to you the final Representation and Asset Management Model.

At these hui, you will be able to ask questions on how we will manage our settlement assets. This will be run in-conjunction with a special vote for all registered adult members.

The hui will be livestreamed so you can all see and hear what’s happening, even if you can’t make it there in person.

If any of your whānau still haven’t registered with TātauTātau o Te Wairoa Trust, please encourage them to head to our website and register. You will need to be registered to vote on how we manage our settlement assets.

Any person over 18 years of age, who can whakapapa to an Iwi, Hapū of Te Rohe o Te Wairoa, may register and vote. Children of those registered may also register, including whāngai and legally adopted children, but they won’t be able to vote until they are 18 years. Register here.
